DIN – Director Identification Number Registration Process

For any mishap or misconduct on account of the company, its director is considered responsible for it. Therefore, it is very mandatory to have a track of all the directors. Director Identification Number is the tool used for tracking the same.

What is Director Identification Number?

Section 266A TO 266G of the Companies Act 2006 mentions the Director Identification Number as a number which is assigned to the director of the company so that the legality of a business or a company and its director is maintained.

Features

  1. DIN is an 8-digit number which is assigned to the existing director of the company, or a would-be director of that company.
  2. The same DIN is applicable if the Director changes his company.
  3. The DIN once allotted is non-perishable.

Requirements of DIN

Proof of Address

The proof of address is essential for applying for a DIN.

The following documents can be considered as proof of address:

  1. Passport
  2. Driving License
  3. Voters ID Card
  4. Provident Fund Statement
  5. Bank Statement attested by banker
  6. School Leaving Certificate
  7. SSC / HSC / Graduation / Post-graduation Degree Certificate
  8. Birth Certificate
  9. Electricity Bill
  10. Telephone / Mobile Bill
  11. Gas Bill
  12. Water Bill
  13. Property Tax Receipt

Proof of Identity

Following are the proofs of identity required for applying DIN

  1. Indian Resident – PAN Card
  2. Non-resident India – Passport
  3. Foreign National – Passport

Digital Signature Certificate

The director of a company before applying for the DIN should have a digital signature certificate. DSC is valid for 1 or 2 years after which it needs to be renewed. If the digital signature certificate has expired before application of DIN, then the individual has to apply for DSC first before applying for DIN.

Various Forms under DIN

SPICe Form

When an individual is about to become the first director or a new company, he needs to apply through the SPICe form. This form is to be e-filed along with the above-mentioned documents. After the approval by the MCA Department, the individual will be allotted a DIN.

Following details are to be submitted in the SPICe form:

  1. Entity Type
  2. Details of the company
  3. Main division details of the company
  4. Correspondent Address of the company
  5. Particulars of the individual who is applying for DIN
  6. First subscribers to MOA and directors of the company
  7. Particulars of payment of stamp duties
  8. Particulars of PAN of the individual and TAN of the respective company
  9. Particulars of registration under Employee State Insurance Company (ESIC)
  10. Employee Provident Fund and Miscellaneous Provisions Act 1952 application to the organisation
  11. Number of Employees covered under the EPF Act
  12. Number of employees earning wages less than Rs. 15000
  13. Need of Importer Exporter Code
  14. Particulars of investment
  15. Attachments of Memorandum of Association, Articles of Association and Affidavit and declaration by the first subscribers and directors of the company.
  16. Acceptance of declaration
  17. Digital Signature Certificate
  18. Authorisation and Digital Signature Certificate of Chartered Accountant, Cost Accountant or Company Secretary

DIR-3 Form

When an individual is about to become the director of an existing company, he needs to apply through the DIR-3 form. This form is to be e-filed along with the above-mentioned documents. After the approval by the MCA Department, the individual will be allotted a DIN.

Following are the details that need to be filled in the form DIR-3:

  1. Applicant Name
  2. Father’s Name
  3. Citizenship of India
  4. Nationality
  5. Residential Status
  6. Occupational Status
  7. Date of Birth
  8. Gender
  9. PAN
  10. Voter’s ID
  11. Passport Number
  12. Driving License
  13. Aadhaar Number
  14. Permanent Residential Status
  15. Present Residential Status
  16. Above mentioned attachments
  17. Verification
  18. Digital Signature
  19. Authorisation and Digital Signature Certificate of Chartered Accountant, Cost Accountant or Company Secretary

DIR-6 Form

When an individual has to make changes in the existing DIN information, he needs to apply through the DIR-6 form.

Following are the details that need to be filled in the form DIR-6:

  1. Director Identification Number
  2. Type of Change
  3. Director’s Name
  4. Father’s Name
  5. Citizenship of India
  6. Nationality
  7. Residential Status
  8. Date of Birth
  9. Gender
  10. PAN
  11. Voter’s ID
  12. Passport Number

  15. Mobile
  16. Email ID
  17. Permanent Residential Status
  18. Present Residential Status

Procedure for Applying a DIN

The procedure for applying for DIN is simple and explained in the steps given below:

  1. Download the form as per your specifications.
  2. Create your account on the MCA website
  3. Login into your account
  4. Submit the form along with the proof of address, proof of identity and digital signature certificate
  5. After submitting, pay the fees of Rs. 500 using debit/credit card.
  6. You will receive an acknowledgement regarding the payment of the fees and the application.
  7. If the application is filled correctly and all the required documents are attached, a DIN will be generated in 2-3 business days.
  8. In case any duplicate application is found in your name, you will be provided with a provisional DIN which upon e-verification through DIR-4, will change to the approved DIN.

Reasons for Rejection of a DIN

The DIN application may get rejected due to the following reasons:

  1. Required documents are not attached while submitting the application
  2. The documents submitted are incorrect.
  3. While filling the application form, wrong details are entered.
  4. The details mentioned in the form, have discrepancies with respect to the details found in the proofs submitted.
  5. Incorrect filing of form. Example: If an individual is supposed to fill the SPICe form, but he accidentally fills the DIR-3 form.
  6. Documents are not self-attested.

Applications of DIN

When a company is to be newly formed, a maximum of 3 SPICe forms for its directors. In case of a limited liability partnership, the partners get a Designated Partner Identification Number which is equivalent to the DIN Number.
